Abertis: Takeover

The companies Hochtief AG, Atlantia S.p.A and ACS have reached agreement about their common investment in Abertis Infraestructuras S.A. Hochtief has launched a voluntary takeover offer to the shareholders of Abertis Infraestructuras at a price of EUR 18.36 per share, which have been approved by the Commission Nacional del Mercado de Valores. The acceptance period of the offer will end on 08 May 2018.

On 14 May 2018, the company Hochtief AG published the result of the voluntary takeover offer to the shareholders of Abertis Infraestructuras at a price of EUR 18.36 per share. According to this announcement, 85.6% of the Abertis-shares are attributable to Hochtief AG. Settlement of the transaction is scheduled for 15 May 2018. Trading in the Futures contracts on Abertis shares will be discontinued after close of trading on 15 May 2018. Fulfillment of the contracts is done on the basis of the offer price of EUR 18.36 with the parameters mentioned in the corporate action info 001/002. Fulfillment occurs automatically with the settlement of the last variation margin effective on 16 May 2018. Open positions will be transferred on 16 May 2018 and closed out by Eurex Clearing AG.
