BG Group PLC: Merger with Royal Dutch Shell PLC

BG Group PLC and Royal Dutch Shell PLC announced the merger of both companies. The merger has been
approved by the shareholders of both companies on the respective general meetings on 28 January 2016
and 29 January 2016.
As a result, the shareholders of BG Group PLC will receive 383 British pence in cash and 0.4454 Royal
Dutch Shell B-shares for each outstanding BG Group PLC share. The closing of the transaction is planned
for 15 February 2016. For further details, please refer to the website of the companies under the following

Pursuant to the Contract Specifications for Futures Contracts and Options Contracts at Eurex Deutschland
and Eurex Zürich, Section 2.6.10.1 (7) for options, Section 1.6.7 (7) for Single Stock Futures and Section
1.15.8 (7) for Single Stock Dividend Futures, an adjustment of the existing Eurex contracts on BG Group
PLC (BGG, BGFF, B2G) will take place by means of the R-factor method, provided the transaction is
regarded as having taken effect.
